CSS FOUNDATION SOFTWARE LICENSE AGREEMENT

THIS SOFTWARE LICENSE AGREEMENT ("Agreement") IS A LEGAL AGREEMENT BETWEEN YOU ("LICENSEE") AND Byrnu Inc. ("LICENSOR") FOR THE USE OF THE SOFTWARE "CSS FOUNDATION" ("Software"). THE "CSS FOUNDATION" SOFTWARE IS A TECHNOLOGICAL FOUNDATION FOR SOFTWARE DEVELOPMENT INTENDED FOR QUEBEC SCHOOL SERVICE CENTRES. BY INSTALLING, COPYING, USING OR MODIFYING THE SOFTWARE, YOU ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT.

1. GRANT OF LICENSE

The LICENSOR grants the LICENSEE a perpetual, unlimited, non-exclusive and non-transferable license to use the source code and binary of the Software exclusively for internal use within the LICENSEE's organization.

2. RESTRICTIONS

The LICENSEE agrees not to distribute, sell, sublicense, rent or make available the Software, in whole or in part, in any form, to any entity outside its organization, except with the prior written consent of the LICENSOR.

3. MODIFICATION RIGHTS

The LICENSEE is authorized to modify the Software's source code for internal purposes without any obligation to share or publish the modifications made.

4. DISCLAIMER OF WARRANTY

THE LICENSOR CANNOT GUARANTEE THE COMPATIBILITY OF SOURCE CODE EVOLUTION. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

5. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SOFTWARE.

6. ACCESS TO UPDATES AND ONLINE TRAINING

The LICENSEE will have access to Software updates and online training for a period of one year from the date of license acquisition. After this period, access will be conditional upon payment of annual license fees. The license will be automatically renewed on the anniversary date, unless a termination notice is sent by either party at least one month in advance.

7. TERMINATION

This Agreement remains in effect as long as the LICENSEE complies with its terms. Any violation of the stated restrictions will result in automatic termination of the license, without prejudice to the LICENSOR's rights.

BY USING THE SOFTWARE, THE LICENSEE ACKNOWLEDGES HAVING READ, UNDERSTOOD AND ACCEPTED THE TERMS OF THIS AGREEMENT.
